Please read these Terms of Service carefully before using Zapp EV's website, charging services, or membership platform. These Terms govern your access to and use of all Zapp EV services and constitute a binding legal agreement between you and Zapp EV Inc.
By accessing or using the Zapp EV website (www.zappforall.com), mobile application, EV charging services, or membership platform (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Services.
These Terms constitute a legally binding agreement between you and Zapp EV Inc. ("Zapp EV," "we," "us," or "our"), a Delaware corporation headquartered at 1800 Vine Street, Suite 538, Los Angeles, CA 90028. We reserve the right to update these Terms at any time. Continued use of the Services after any changes constitutes your acceptance of the revised Terms.
Zapp EV operates ultra-fast DC electric vehicle charging stations in Hollywood, Los Angeles and other locations. Our charging services include pay-per-use charging sessions, reserved stall access, and fleet charging programs. Charging services are subject to availability, equipment functionality, and applicable local regulations.
Zapp EV offers tiered membership plans (Silver, Gold, Titanium, VIP, and Zapp Black) that provide benefits including preferred per-kWh pricing, guaranteed stall reservations, priority access, and lounge amenities. Membership benefits, pricing, and availability are subject to change with reasonable notice.
Our website provides information about Zapp EV's services, investor relations materials, press resources, career opportunities, and contact information. Access to certain features may require account registration.
While we target 99.9% operational uptime at our charging facilities, we do not guarantee uninterrupted availability of any Service. Scheduled maintenance, equipment failures, utility outages, force majeure events, or other circumstances beyond our reasonable control may result in temporary service interruptions.
To access certain Services, you must create a Zapp EV account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You must be at least 18 years of age to create an account.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at info@zappforall.com if you suspect unauthorized access to your account. Zapp EV is not liable for any loss or damage arising from your failure to maintain account security.
We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, non-payment, or any other reason we deem appropriate in our sole discretion. You may close your account at any time by contacting us at info@zappforall.com.
By initiating a charging session at a Zapp EV station, you agree to pay all applicable fees for energy delivered (measured in kWh) and any applicable session fees, idle fees, or overstay fees as displayed at the station or in the Zapp EV app at the time of your session. All fees are in US dollars.
Charging rates are displayed at each station and in the Zapp EV app. Rates may vary by location, time of day, membership tier, and connector type. We reserve the right to change pricing at any time with reasonable notice. Membership pricing is governed by your membership agreement.
Payments are processed through our third-party payment processor. By providing payment information, you authorize Zapp EV to charge your payment method for all fees incurred. You represent that you are authorized to use the payment method provided. All transactions are subject to our payment processor's terms and conditions.
To ensure stall availability for all users, idle fees may apply when your vehicle remains connected to a charging stall after your session is complete. Overstay fees may apply in reserved stall areas. Applicable fees will be clearly disclosed before they are charged.
Charging session fees are generally non-refundable once a session has been initiated. If you experience a technical failure that prevents charging, please contact us at info@zappforall.com within 7 days of the session. We will review your request and, at our discretion, issue a credit or refund for sessions where a verified equipment failure prevented charging.
Membership plans are billed on a monthly or annual basis as selected at enrollment. By enrolling in a membership plan, you authorize Zapp EV to charge your payment method on a recurring basis at the applicable membership rate until you cancel.
You may cancel your membership at any time through your account settings or by contacting us at info@zappforall.com. Cancellation takes effect at the end of your current billing period. No partial refunds are issued for unused portions of a billing period, except where required by applicable law.
Membership benefits are non-transferable and may only be used by the registered account holder. Sharing membership credentials or benefits with third parties is prohibited and may result in account termination without refund.
We reserve the right to modify membership pricing, benefits, or available tiers with at least 30 days' advance notice. If you do not accept the changes, you may cancel your membership before the changes take effect.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
(a) Use the Services in any way that violates applicable federal, state, local, or international law or regulation; (b) Tamper with, damage, or attempt to bypass any Zapp EV charging equipment, access control systems, or software; (c) Use the Services to charge vehicles you do not own or are not authorized to charge; (d) Engage in fraudulent activity, including providing false payment information or misrepresenting your identity; (e) Interfere with or disrupt the integrity or performance of the Services or the data contained therein; (f) Attempt to gain unauthorized access to any portion of the Services or any systems or networks connected to the Services; (g) Use automated scripts, bots, or other tools to access or interact with the Services without our express written consent.
When visiting a Zapp EV charging facility, you agree to comply with all posted facility rules, staff instructions, and applicable laws. Zapp EV reserves the right to refuse service to any person who violates facility rules or engages in disruptive, threatening, or illegal behavior.
The Services and all content, features, and functionality — including but not limited to text, graphics, logos, images, software, and the selection and arrangement thereof — are owned by Zapp EV or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to these Terms, Zapp EV grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. This license does not include the right to: (a) reproduce, distribute, or publicly display any content from the Services; (b) modify or create derivative works based on the Services; (c) use any data mining, robots, or similar data gathering tools; or (d) use the Services for any commercial purpose without our express written consent.
"Zapp EV," the Zapp EV logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Zapp EV Inc. You may not use these marks without our prior written permission.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ZAPP EV DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZAPP EV AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ZAPP EV'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ZAPP EV IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.
Zapp EV is not responsible for damage to your vehicle, personal property, or any third-party property arising from your use of our charging services, except to the extent caused by Zapp EV's gross negligence or willful misconduct. You are responsible for ensuring your vehicle is compatible with our charging equipment before initiating a session.
You agree to indemnify, defend, and hold harmless Zapp EV and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Services; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content you submit through the Services.
These Terms and any dispute arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Before filing any formal legal claim, you agree to first contact us at legal@zappforall.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice.
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in Los Angeles, California. You waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
These Terms, together with our Privacy Policy and any applicable membership agreement, constitute the entire agreement between you and Zapp EV regarding the Services and supersede all prior agreements and understandings.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. Zapp EV may assign these Terms without restriction.
